Identifying and managing risks in the supply chain through a robust legal framework

Supply chains are underpinned by legal contractual relationships. The legal relationship between an organisation and its suppliers becomes increasingly complex when new legislative or regulatory requirements emerge. Internal and external stakeholders such as the board of directors, clients, investors, and financial institutions may also influence the structure and expectations of the supply chain. Unwelcome disruptions to commercial arrangements can lead to reputational damage, operational setbacks, and financial uncertainty. In the event contentions and conflicts arise, well-designed internal controls, compliance programmes, and feedback mechanisms will help to detect, prevent, and resolve issues effectively. In-house counsel, procurement, and compliance teams need to collaborate closely to establish ethical and compliance requirements throughout the supply chain. To manage these challenges, organisations may consider putting in place a Supplier Code of Conduct.
