Allen & Gledhill, together with its associate firm in Malaysia, Rahmat Lim & Partners and its strategic alliance firm in Indonesia, Soemadipradja & Taher, advised Synagistics Pte. Ltd. (“Synagistics”) as transaction counsel, on its S$61.7 million acquisition of the entire e‑commerce, e‑commerce enabler and logistics business of Synagie Corporation Ltd. (“Synagie”), a Singapore-listed company, in Singapore, Malaysia, Indonesia, Thailand, the Philippines, Vietnam and Hong Kong. Synagistics is a special purpose vehicle comprising a consortium of investors including Alibaba Singapore Holding Private Limited (“Alibaba Singapore”) and Meranti ASEAN Growth Fund, L.P., a fund managed by Gobi Partners group (“Meranti”).

Allen & Gledhill also advised Alibaba Singapore on the joint venture arrangements with Meranti and the founders of Synagie in relation to their shareholding interests in Synagistics.

Advising Synagistics and Alibaba Singapore was Allen & Gledhill Partner Christopher Koh.

Advising Synagistics as to Malaysian law were Partners Moy Pui Yee and Yeo Tze Lin from Rahmat Lim & Partners.

Advising Synagistics on Indonesian aspects were Partner Emalia Achmadi, Foreign Counsel Oene J. Marseille and Special Counsel Aris Budi Prasetiyo.
