Acquisition of 100% issued share capital of Gourmessa Sdn. Bhd., certain assets of Pok Brothers Sdn. Bhd. and the leasehold lands located in Pulau Indah, Selangor
Advised Primabaguz Foods Sdn. Bhd., an indirect subsidiary of Johnsonville, a US-based meat-products company, on its acquisition of:
- 100% of the issued share capital of Gourmessa Sdn. Bhd., producer of premium quality, meat food products under the brand name GOURMESSA™ from Envictus Foods (M) Sdn. Bhd., a wholly-owned subsidiary of Envictus International Holdings Limited (listed on the Singapore Exchange Limited);
- the warehouse and cold storage facility of Pok Brothers Sdn. Bhd., including the assets used in or for the operations of the warehouse and cold storage facility; and
- two parcels of leasehold lands of Polygold Beverages Sdn. Bhd. located in Pulau Indah, Selangor., to which the manufacturing, warehouse and cold storage facilities are located.
